Established Businesses and Exit Strategy Generally, investee companies will be established businesses that can benefit from the Sponsor’s extensive strategic, financial and operational expertise in order to create value. Only opportunities that have what management believes to be a potential exit strategy or strategies will be pursued.

Opportunistic Investing The Fund will look to invest in established businesses and industries that management believes to be undervalued or where other investors have overlooked due to size constraints.

Leverage Management Experience The Fund will generally seek to structure its investments to position itself to be able to exert significant influence on the ongoing operations of its investee companies and leverage the Sponsor’s management and operational skills to create value for its limited partners (the ‘Partners’). Superior management of investee companies will be sought and incentivized to realize value through equity participation to align interests with the Fund. For certain opportunities, the Fund may source investments (most likely angel or venture investments) in situations where the Fund will have little or no direct influence.

Small and Mid-Market Business The Fund will seek to invest primarily throughout North America in companies that require between $1 million and $10 million in equity financing. Management believes that companies requiring this level of financing represent an underserved component of the private equity market in North America. This inherent gap will provide the Fund with a strategic advantage when sourcing transactions. Management also believes that these companies will provide a greater opportunity for growth of the Fund’s invested capital.
